PALADIN PERFORMANCE
Terms & Conditions
TERMS & CONDITIONS Effective Date: January 1st 2026 These Terms & Conditions (“Terms”) govern your use of the Paladin Performance website and your purchase, installation, ownership, and use of products and services offered by Paladin Performance LLC (“Paladin Performance,” “Paladin,” “we,” “us,” or “our”). By accessing our website, placing an order, accepting a quotation, purchasing a product or service, or using a Paladin Performance product, you agree to these Terms. 1. Products and Services Paladin Performance designs, manufactures, sells, repairs, and services performance-related equipment and devices for athletic, training, educational, commercial, and related applications. We continually improve our products and reserve the right to modify product designs, components, specifications, software, materials, appearance, or manufacturing methods without notice, provided such changes do not materially impair the intended function of a product already ordered. Product photographs, illustrations, dimensions, specifications, and descriptions are intended to be accurate but may contain minor variations or errors. Colors and appearance may vary based on materials, manufacturing processes, lighting, and display settings. 2. Orders and Acceptance All orders are subject to acceptance by Paladin Performance. An order is not considered accepted until we issue an order confirmation, accept payment, begin production, or otherwise confirm acceptance in writing. We reserve the right to decline or cancel an order due to pricing errors, product availability, suspected fraud, technical errors, inability to fulfill the order, or other reasonable business circumstances. If we cancel an order after receiving payment, we will refund the applicable amount paid for the canceled portion. Custom, configured, modified, or made-to-order products may be subject to additional terms stated in the applicable quotation or order confirmation. 3. Pricing and Payment Prices are stated in U.S. dollars unless otherwise indicated. Prices may change without notice. The price applicable to an order will generally be the price stated at the time the order is accepted or in a valid written quotation. Applicable sales taxes, shipping charges, duties, installation charges, and other fees may be added where required. Unless otherwise stated in writing, payment is due according to the terms shown on the applicable invoice, quotation, order confirmation, or checkout page. Past-due commercial invoices may be subject to reasonable collection costs and any late-payment charges permitted by applicable law and stated on the applicable invoice or agreement. 4. Shipping and Delivery Shipping and delivery dates are estimates unless Paladin Performance expressly agrees otherwise in writing. Paladin Performance is not responsible for delays caused by carriers, suppliers, weather, natural disasters, labor disruptions, transportation interruptions, governmental actions, material or component shortages, or other circumstances beyond our reasonable control. Customers should inspect shipments promptly upon delivery. Visible shipping damage should be documented with photographs and reported to Paladin Performance and, when appropriate, the carrier as soon as reasonably possible. Customers should retain the product, packaging, and shipping materials while a damage claim is being evaluated. Risk of loss and title transfer will be governed by the shipping terms stated on the applicable order, quotation, or invoice and otherwise by applicable law. 5. Safety, Installation & Operating Responsibility Paladin Performance manufactures equipment intended for use in athletic, training, educational, commercial, and similar environments. Depending on the product and application, Paladin Performance equipment may be used in or around swimming pools, pool decks, tracks, athletic fields, outdoor facilities, wet or damp environments, and other locations where electrical equipment, water, weather, athletes, spectators, and facility operations may be present. The purchaser, owner, facility operator, installer, and user are responsible for determining whether a Paladin Performance product is appropriate and safe for the specific location, installation, environment, and intended use. Paladin Performance manufactures and supplies the equipment. Unless expressly included in a written agreement, Paladin Performance does not control or assume responsibility for the customer’s site conditions, facility electrical system, receptacles, mounting location, installation methods, extension cords, facility operations, supervision, maintenance practices, or the manner in which the equipment is ultimately used. Customers are responsible for: selecting a safe and appropriate location for the equipment; ensuring installation and mounting are secure and appropriate for the application; providing electrical power and related infrastructure appropriate for the equipment and environment; complying with applicable electrical, building, swimming-pool, facility, accessibility, and other codes, regulations, and requirements; using appropriately qualified or licensed personnel where required for electrical work, installation, inspection, or service; protecting electrical equipment and connections from water, weather, impact, traffic, and other hazards as appropriate; inspecting equipment, power supplies, cables, connectors, mounting hardware, enclosures, and related components before use and periodically thereafter; immediately discontinuing use of equipment that appears damaged, improperly installed, electrically unsafe, water-damaged, or otherwise unsuitable for continued operation; maintaining appropriate separation, protection, and supervision around athletes, spectators, staff, vehicles, water, and other potential hazards; and operating, storing, maintaining, and servicing equipment in accordance with Paladin Performance instructions and applicable safety requirements. The fact that a Paladin Performance product may be designed or marketed for use in a particular athletic or outdoor environment does not eliminate the customer’s responsibility to evaluate the specific installation and operating conditions at its facility. Nothing in these Terms is intended to disclaim or limit any responsibility of Paladin Performance that cannot lawfully be disclaimed or limited. 6. Pace Clock Power & Electrical Safety The Paladin Performance Pace Clock uses a low-voltage USB-C Power Delivery architecture. The Pace Clock requires: Connection: USB Type-C Protocol: USB-C Power Delivery (PD) Required Output: 20 VDC / 3.25 A Minimum Power: 65 W AC mains voltage does not enter the Pace Clock enclosure. An external USB-C PD power supply converts facility AC power to the low-voltage DC power required by the Pace Clock. A compatible USB-C PD power supply may be supplied by Paladin Performance or obtained separately by the customer. When Paladin Performance does not provide the power supply or USB-C cable, the purchaser, owner, facility operator, or user is responsible for selecting a compatible, appropriately rated, safe, and legally compliant power supply and cable suitable for the intended location and operating environment. A USB-C connector alone does not indicate compatibility. The power supply must support USB-C Power Delivery and be capable of supplying 20 VDC / 3.25 A and at least 65 W. A USB-C PD power supply rated above 65 W may be used provided it supports the required 20 VDC Power Delivery profile and otherwise meets the requirements specified by Paladin Performance. Do not use damaged, modified, counterfeit, improperly rated, incompatible, or otherwise unsuitable power supplies or cables. Paladin Performance is not responsible for damage, malfunction, electrical hazards, injury, or other loss resulting from the use of an incompatible, improperly rated, damaged, improperly installed, or otherwise unsuitable third-party power supply or cable, except to the extent such responsibility cannot legally be excluded. 7. Use Near Water, Swimming Pools and Outdoors WARNING — AC ELECTRICITY AND WATER CAN CREATE A SERIOUS ELECTRICAL HAZARD. Although the Paladin Performance Pace Clock itself operates from low-voltage DC power, the external USB-C power supply connects to AC mains electricity. The external power supply, AC receptacle, extension cords, power strips, and all other AC-side electrical equipment and connections must be selected, located, installed, and used appropriately for the environment. When a Pace Clock is used near swimming pools, pool decks, wet or damp locations, outdoors, tracks, athletic fields, or other environments where water or weather may be present, the purchaser, facility operator, installer, and user are responsible for: selecting an external power supply appropriate for the operating environment; providing an electrical receptacle appropriate for the location; providing GFCI protection where required by applicable codes, regulations, or facility requirements; locating the external power supply and AC electrical connections where they will not be exposed to standing water, submersion, unsafe splashing, or other hazardous conditions; using extension cords and other electrical equipment appropriately rated for the application and environment; routing cables so they do not create trip, impact, or other hazards; and complying with applicable electrical, building, swimming-pool, facility, and other safety requirements. Never place an AC power supply, receptacle, extension-cord connection, power strip, or other mains-voltage electrical connection in standing water or in a location where its use creates an electrical hazard. Do not operate equipment if the Pace Clock, USB-C cable, power supply, AC connection, or surrounding environment appears unsafe. 8. Third-Party Power Supplies, Cables and Electrical Equipment Paladin Performance does not manufacture or control third-party power supplies, USB-C cables, extension cords, receptacles, power strips, facility wiring, or other customer-supplied electrical equipment. The customer is responsible for ensuring that any such equipment is compatible with the Pace Clock, appropriately rated for its intended use and environment, maintained in safe operating condition, and used according to its manufacturer’s instructions and applicable requirements. The fact that third-party equipment can physically connect to a Paladin Performance product does not necessarily mean that it is electrically compatible, safe, or appropriate for the application. 9. Athletic and Training Use Paladin Performance products may provide timing, pacing, training, performance, or other information intended to assist athletes, coaches, instructors, facility operators, and other users. Our products are tools and do not replace appropriate coaching, supervision, judgment, safety procedures, medical advice, or facility safety practices. Athletic activity inherently involves risk. Athletes, coaches, users, and facility operators remain responsible for determining whether an activity is appropriate and for providing appropriate supervision and safety precautions. Paladin Performance does not warrant that use of its products will result in any particular athletic, training, competitive, or performance outcome. 10. Limited One-Year Product Warranty Unless a different written warranty accompanies a particular product, Paladin Performance warrants to the original purchaser that new Paladin Performance products will be free from material defects in materials and workmanship for one (1) year from the date of delivery. During the warranty period, Paladin Performance may, at its option: repair the defective product; replace the defective product or component with a new, refurbished, or functionally equivalent product or component; or refund the purchase price of the defective product. This limited warranty does not cover damage or failure caused by: normal wear and tear; accident, impact, dropping, collision, or vandalism; misuse or abuse; improper installation or mounting; improper storage or maintenance; unauthorized repair, modification, or alteration; incompatible or improperly rated power supplies or cables; improper electrical supply or connection; electrical surges or other external electrical conditions; water intrusion or environmental exposure beyond the product’s specifications; use outside the product’s intended application or operating specifications; severe weather, flooding, lightning, or other acts of nature; or other causes unrelated to a defect in materials or workmanship. Consumable items and normal-wear components may be excluded from warranty coverage. Warranty service may require proof of purchase, photographs, video, troubleshooting information, return of the product or component, or other reasonable information necessary to diagnose the issue. Paladin Performance must authorize warranty returns before products are shipped to us. Except to the extent prohibited by applicable law, this limited warranty is the exclusive product warranty provided by Paladin Performance. 11. Returns and 20% Restocking Fee Standard, unused products may be returned only with prior authorization from Paladin Performance and within thirty (30) days of delivery. Returned products must be in new, unused, and resalable condition and include the original components, accessories, documentation, and packaging where reasonably applicable. Approved returns of non-defective products are subject to a 20% restocking fee calculated from the original product purchase price. Original shipping and delivery charges are non-refundable. The customer is responsible for return shipping costs and for ensuring that returned products are properly packaged and protected during return transportation unless the return results from an error by Paladin Performance or a covered warranty issue. Products returned damaged, incomplete, used, modified, or otherwise not in resalable condition may be subject to additional deductions or may be refused. Custom, configured, modified, special-order, clearance, or made-to-order products are non-returnable unless defective or otherwise required by applicable law. Before returning any product, contact Paladin Performance at [EMAIL ADDRESS] for return authorization and instructions. 12. Repairs and Service Paladin Performance may offer repair, refurbishment, troubleshooting, or service for certain Paladin Performance products and, at our discretion, products originally manufactured by others. Repair estimates are based on the condition reasonably observable during evaluation. Additional problems discovered during repair may require additional authorization and charges. Unless specifically stated otherwise in writing, repair of a third-party product does not make Paladin Performance the original manufacturer of that product and does not create a warranty covering the product as a whole. Replacement components used in repairs may be new, refurbished, or functionally equivalent components where appropriate. Any warranty applicable specifically to repair work will be stated on the applicable repair quotation or invoice. 13. Disclaimer of Warranties EXCEPT FOR THE EXPRESS LIMITED WARRANTY PROVIDED IN THESE TERMS OR ANOTHER WRITTEN WARRANTY ISSUED BY PALADIN PERFORMANCE, AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRODUCTS, SERVICES, AND WEBSITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” PALADIN PERFORMANCE DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED. PALADIN PERFORMANCE DOES NOT WARRANT THAT A PRODUCT WILL BE SUITABLE FOR EVERY FACILITY, INSTALLATION, ENVIRONMENT, OR APPLICATION. Some jurisdictions do not allow certain warranty exclusions or limitations, so portions of this section may not apply to every customer. 14. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PALADIN PERFORMANCE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF USE, LOST TRAINING TIME, LOST COMPETITION OPPORTUNITIES, BUSINESS INTERRUPTION, LOSS OF DATA, OR SIMILAR LOSSES ARISING FROM OR RELATED TO A PRODUCT, SERVICE, OR USE OF THIS WEBSITE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PALADIN PERFORMANCE’S TOTAL LIABILITY ARISING FROM OR RELATED TO A PRODUCT OR SERVICE WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO PALADIN PERFORMANCE FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM. These limitations apply regardless of the legal theory asserted and even if Paladin Performance has been advised of the possibility of such damages. Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited. 15. Customer Responsibility and Indemnification To the extent permitted by applicable law, customers are responsible for claims, damages, injuries, or losses resulting from their misuse of a Paladin Performance product, unauthorized modification, improper installation, incompatible or improperly rated power equipment, improper electrical connection, unsuitable site conditions, failure to maintain or inspect equipment, violation of applicable laws or facility requirements, or use contrary to Paladin Performance’s instructions or specifications. To the extent permitted by applicable law, commercial and institutional customers agree to indemnify, defend, and hold harmless Paladin Performance and its owners, officers, employees, contractors, and agents from third-party claims, damages, liabilities, costs, and reasonable legal expenses arising from such conduct, except to the extent caused by Paladin Performance’s own negligence, willful misconduct, defective product, or other liability that cannot legally be excluded. 16. Intellectual Property The Paladin Performance name, logos, trademarks, product designs, graphics, photographs, drawings, documentation, website content, software, firmware, technical information, and other proprietary materials may be protected by trademark, copyright, patent, trade-secret, or other intellectual-property laws. Purchasing a Paladin Performance product does not transfer ownership of Paladin Performance’s intellectual property. No Paladin Performance content, design, documentation, software, photograph, drawing, or other proprietary material may be reproduced, copied, distributed, reverse engineered, modified, or used commercially except as permitted by applicable law or with our prior written authorization. 17. Website Use You may use our website for lawful purposes related to learning about, evaluating, purchasing, or obtaining support for Paladin Performance products and services. You may not interfere with the website’s operation, attempt to gain unauthorized access to systems or information, introduce malicious software, impersonate another person or organization, misuse information obtained through the website, or use the website for unlawful purposes. We may modify, suspend, or discontinue any portion of the website without notice. 18. Third-Party Products and Services Our products or website may reference, incorporate, interface with, or provide links to products, services, components, software, or websites provided by third parties. Third-party products and services are subject to the applicable third party’s own terms, warranties, instructions, and policies. Paladin Performance is not responsible for third-party products or services except to the extent expressly stated in writing or required by applicable law. 19. Force Majeure Paladin Performance will not be liable for delays or failures caused by circumstances reasonably beyond our control, including natural disasters, severe weather, fire, flood, lightning, war, terrorism, civil unrest, governmental action, epidemics, pandemics, labor disruptions, transportation interruptions, utility failures, cyber incidents, supplier failures, material or component shortages, carrier delays, or other similar events. 20. Governing Law These Terms and any dispute arising from or relating to them, our products, or our services will be governed by the laws of the State of Illinois, without regard to conflict-of-law principles, except where applicable law requires otherwise. Any legal proceeding arising from these Terms shall be brought in a court of competent jurisdiction located in [COUNTY], Illinois, unless otherwise required by applicable law. 21. Business, School and Institutional Purchases Schools, school districts, universities, colleges, athletic programs, municipalities, clubs, businesses, government entities, and other organizations purchasing through purchase orders, quotations, procurement systems, or other commercial purchasing processes may be subject to additional written terms. If there is a conflict between these website Terms and a written agreement signed by an authorized representative of Paladin Performance, the signed agreement controls with respect to that transaction. Any additional or different terms contained in a customer’s purchase order, procurement document, vendor agreement, or other document that materially modify Paladin Performance’s terms are rejected and will not become part of the agreement solely because Paladin Performance accepts the purchase order, fulfills the order, delivers the product, or accepts payment. Any such additional or different terms will apply only if expressly accepted in writing by an authorized representative of Paladin Performance. 22. Changes to These Terms Paladin Performance may update these Terms periodically. The version posted on our website at the time of a transaction will generally govern that transaction unless otherwise agreed in writing. The effective date shown at the top of these Terms indicates when they were most recently updated. 23. Severability If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law, and the remaining provisions will remain in full force and effect. 24. No Waiver Failure by Paladin Performance to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future. 25. Entire Agreement These Terms, together with the applicable quotation, order confirmation, invoice, product documentation, warranty, and any written agreement signed by Paladin Performance, constitute the applicable agreement between Paladin Performance and the customer regarding the transaction. 26.
